These Terms of Service ("Terms") govern your use of the KHKCorpo website and any web design, development or related services ("Services") provided by KHKCorpo ("we", "us"). By using this website or engaging us, you agree to these Terms.
1. Services
We design, build and may host and maintain websites. The scope, deliverables, timeline and price of each project are set out in a written proposal, quote or agreement. If it conflicts with these Terms, the project agreement controls.
2. Client responsibilities
- Be of legal age to enter into a contract where you live, and authorised to agree to these Terms for yourself or your business.
- Provide content, images, branding and feedback in a timely manner.
- Confirm you own or have permission to use everything you give us.
- Review and approve work within the agreed review period.
3. Fees and payment
Fees, deposits and payment schedules are stated in your project agreement. Late payments may pause work or hosting. Unless stated otherwise, deposits are non-refundable once work has begun.
4. Revisions
Each project includes the number of revision rounds stated in the agreement. Additional revisions or changes outside the agreed scope may be billed separately.
5. Intellectual property
On full payment, you own the final custom design and content created specifically for you. We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a licence to use them as part of your website. Third-party assets (fonts, stock images, plugins) remain under their own licences. We may show the finished work in our portfolio unless you ask us not to in writing.
6. Hosting and third-party services
Sites may rely on third-party providers such as hosting, domain registrars and email services. Their terms apply, and we are not responsible for their outages or changes.
7. Acceptable use
You agree not to use our Services for anything unlawful, infringing, deceptive or harmful, or to attempt to disrupt or gain unauthorised access to our website or systems.
8. Warranties and disclaimer
We will perform the Services with reasonable skill and care. Except as stated, the website and Services are provided "as is", and we do not guarantee specific results such as traffic, search rankings, sales or uninterrupted availability.
9. Limitation of liability
To the maximum extent permitted by law, KHKCorpo is not liable for indirect, incidental or consequential losses, including lost profits or data. Our total liability for any claim is limited to the amount you paid us for the Services giving rise to the claim in the 12 months before it arose.
10. Indemnification
You agree to defend and compensate KHKCorpo against claims, losses and costs arising from content or materials you provide to us, your use of the finished website, or your breach of these Terms.
11. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the project, except where disclosure is required by law.
12. Termination
Either party may end a project by written notice. You will pay for work completed up to the termination date. We may suspend or end Services if you breach these Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which KHKCorpo is based, and any dispute will be handled in the courts of that jurisdiction.
14. General
These Terms and any project agreement are the entire agreement between us on their subject. If a provision is unenforceable, the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not transfer your rights under these Terms without our written consent. You agree that we may communicate with you electronically, including by email.
15. Changes
We may update these Terms from time to time. The date at the top shows the latest version. Continued use of the website after changes means you accept them.
